Passmore, Kivas TuUy, William Thomas, Thomas Ridout, Sandford Fleming, and others of our loving subjects in our Province of Canada, have formed themselves into a Society for the encouragement and general advancement of the Physical Sciences, the Arts and Manufactures, in this part of our Dominions ; and more particularly for promoting the acquisition of those branches of Knowledge which are connected with the Profedsions of Surveying, Engineering, and Architecture : beiug the Arts of opening up the Wilderness and preparing the countiy for the pursuits of the Agriculturist, of adjusting with accuracy the boundaries of Properties, of improving and adorning our Cities and the habi- tations of our subjects, and otherwise smoothing the path of Civilization ; and also being the Arts of directing the great sources of Power in Nature for the use and uonveuieuce of n^an, as the means of production and of traffic both for external and internal trade, and materially advancing the development of the Resources and of. the Industrial Productions and Commerce of the Countiy ; and have commenced the formation of a Museum for collections of Models and Drawings of Machines and Constructions, New Inventions and Improve- ments, Geological and Mineralogical Specimens, and whatever may be cal- culated, either as Natural Productions or Specimens of Art, to promote the purposes of Science and the general interests of society, and have subscribed and collected certain sums of money for these purposes. And whereas, in order to secure the property of the said Society and to ex- tend its useful operations and at the same tim.e »o give it a more permanent establishment among the Literary and Scientific Institutions of this part of our Dominions, we have been besought to grant to the said William £. ': ■ REGULATIONS, -y::-^'^-'' y. ■ \' ']: \' SECTION I. INCORPORATION. . . The Canadian Institute is established under Royal Charter, granted Novem- ber 4th, 1851. SECTION II. . : OBJECT The object of the Institute is the promotion of Pure and Applied Science, SECTION III. CONSTITUTION. 1. The Canadian Institute shall consist of Members and Associates. 2. There shall be three classes of members, Ordinary, Life, and Honorary members. 3. Ordinary members shall be persons wh ae pursuits or studies arc con- nected with the Artjs or Sciences, or wl ..re desirous of forwarding the objects of the Institute. 4. Ordinary members may become life members by compounding their annual subscriptions by the payment of fifty dollars. » 5. Honorary members shall be persons who are eminent for their scientific J^ attainments. ■'-i* 6. The numUer of honorftry members Lnha'l be limited to twenty-Hve, of whom not more than five shall be residents of Ontario, 7. Associates ahall have all tho privileges of membership, except the right of voting, or taking part in the business management of the Institute or sections, or of receiving copies of tho {tublications of the Institute. 8. For the promotion of the stmly of special branches of pure and applied science the Institute shall be divided into suoli Sections as the Council shall from time to time determine, subject to the subso(|uent approval of the Insti- tute. E.i'jh Section shall frame its own regulations and by-laws, subject to the approval of tlie Council. {). The officers of the Institute shall be a President, a V^ice- President, a Secretary, a Treasurer, an Editor, a Librarian, a Curator, aiui as many mem- bers of Council as shall be necessary to complete the number of fifteen member.", all of whom shall be eleotod annually by the members of the Institute. SUCTION IV. THF, KLKOriON OF MRMUKBS. 1. All persons desirous of being admitted into the Institute as ordinary membcr.i must bo proposed at least one .vcuk before their election, in accord- ance with a form to be obtained from tl»e Secretary, which form must be sub- scribed by at least two members of the Institute. ■J. Honorary nicnihers must be recommended by at lea.st three members, who sliall certify tliat the candidate is a person eminent for his attainments in science. 3. Every recommendation of a candidate as an honorary member must be deliveied to t'le Secretary, who shall submit the same to the Council for en- quiry ; and wiien the recommendation of such candidate! is approved by the Council, it shall be signed by the Chairman, ami read at the lirst following ordinary meeting, previous to the ballot being taken. 4. .\U persons desirous of being admitted to the Institute as associates must be rocoinmended by two members, who shall certify to their fitness. '». Every recommendation of a camlidate as an associate must be delivered to the Secretary, who shall su))mit the same to the Council ; and in case the recommendation be approved by the Council, it shall be signed uy the Chair- man, and the candidate shall be admitted as an associate. G. All electio;>s of members shall be by l).dlot, and the proportion of votes requisite for the election of any person shall be more than three-fourths of the ballot. 7. Whenever any person is elected a member or associate, the Secretary shall inmiediately inform him of the same by letter ; and no person shall be considered a member of any cla?o, or an associate, until he has signified his acquiescence in the election, and paid his first annual subscription. 8. If any complaint is brought against a member, the charge shall be con- sidered by the Council in the first instance, and an opportunity shall be given to the accused to clear himself. If the Council consider it desirable, they r 8 shall <;all a special general meeting, of which not less than a month's notice shall be given ; and in case two-thirds of the members present at that meeting are of opinion that such member should be expelled, the presiding officer at that meeting shall declare him to be expelled. SECTION v. THE ELECTION OF OFFICEhS. 1. The President, Vice-President, Treasurer, Secretary, Editor, Curator, Ijibrarian, and as many other members of Council as may be nec3B8ary, at each annual general meeting, to complete the number of fifteen members of Council, shall be elected annually by ballot from amongst the members of the Institute at the general meeting on the first Saturday in May, and if that day falls upon a holiday, then upon the following Saturday. 2. Nominations for these offices must be made at the ordinary meeting immediately preceding the annual general meeting, and only those shall be eligible who have been so nominated. 3. Any member nominated to an office and not elected thereto shall be eligible as a member of the Council. 4. At the annual election the Chairman shall appoint two scrutineers, who shall receive the votes of the members, count them, and report to the presiding officei, who shall declare the result to the members. 5. A separate ballot shaU l)e taken for the President, for the Vice-President, and for each of the other officers, except the Councillors ; and a ballot shall then be taken for the remaining members of Council. (). If in any case the votes are equal, the decision shall be by ballot. 7. Each section shall elect its own officers at Ihe meeting of section preced- ing the annual meeting of the Institute. 8. The new Council shall ent^r upon their duties on the Saturday following their election. 9. Two Auditors shall be appointed at the ordinary meeting held on the third Saturday in March of each year ; one by the members, the other by the Chairman. SECTION VI. members' subscriptions. 1 . The annual subscription of each member residing in or within ten miles of the city of Toronto shall be four dollars, of each member residing else- where two dollars, and of each associate one dollar. All subscriptions shall be due in advance on-tUe first day of January, and all new members shall pay pro rata in advance until the thirty-first day of December next following the date of their election. 2. Every member shall receive a copy of the transactions and proceedinrjs of the Institute published after his election, so long as he shall continiie in good standing. 3. Every member and associate shall be considered as belonging to the Institute, and, as such, liable to the payment of his annual subscription, until he has signified to the Secretary, in wi-iting, his desire to withdraw, when his name shall be erased from the list of members. No member or associate shall be eutitled to any of the privileges of the Institute whose subscription shall be twelve months in arrear, anil the name of any member whose annual subscriptions are two years in arrear may be cased from the list of members by the Council, and any member whose name is so erased shall cease to be a member of the Institute. ShX'TION VII. THE PRESIDENT, VlfE-PUESIDENT, AND CHAIRMKN OF SECTIONS. 1 . It shall be the duty of the President to carry into effect the regulations of the Institute. He shall preside at all meetings of the Institute at which he is present, and shall regulate and keep order in the proceedings. 2. In the absence of the President it shall be the duty of the Vice-President to preside at the meetings and regulate the proceedings. But in the absence of the President and Vice-President, the members present may elect one of their number to take the chair at such meeting. 3. The Chairmen of Sections shall preside at the met'ingsof their respective Sections. .SECTION VIII. THE TREASURER. 1 . The Treasurer shall keep an account of all the moneys of the Institute, and of all dealings therewith. 2. All moneys received for f»r on account of the Institute shall be paid over to the Treasurer, who shall deposit the same in one of the chartered banks in the city of Toronto to the account and for the use of the Institute, unless otherwise ordered by the Council. 3. No money of the Institute shall be paid out except by order of the Council, and cheques shall be drawn in such manner as the Council shall from time to time direct. SECTION IX. THE SECRETARY. 1. The duty of the Secretary shall be to take minutes of all the proceedings of the Institute and of the Council, and enter them in the proper books ; to reac^ at each meeting the minutes ( f the preceding meeting with a view to their verification, and, subject to the direction of the Chairman, to bring be- fore the meeting all business matters according to the order established by the by-law in that behalf. He shall also conduct the correspondence of the Institute. 2. The Secretaries of Sections shall perform the functions of Recording and Corresponding Secretaries for their own Sections, unless the Section shall have appointed a Corresponding Secretary, in which case the Secretary of that Section shall perform the duties of Recording Secretary only. 3. The duties of the Assistant Secretary shall be defined from time to time by the Council. SECTION X. THE EDITOR. The Edito" shall have charge of the publication of the Proceedings of the Institute, in conjunction with an Editing Committee to be nominated by the Council from among its members at the first meeting thereof after the annual 10 meeting. All papers or at)stractfl of papers read before the Institute and' intended for jtublioation shall be handed to the Editor at the close of the respective meetings at which they were reatl, or as so«»n as possible thereafter, and the decision as to the jiropriety or expediency of publisliing any paper shall rest with the Editing; Committee, HECTION Xl. THE I.IKRAKIAN. The Librarian shall have the care of all books, plans, dn wings, and other documents, and shall have tlie genera] superintendence of the same, under the direction of the Council. He shall keep a list of all donations to the library in the order in which they aitrrpretved, with the names of the donors. SKf'TION XII. THR ClIRATOK. 1. The Curator shall have charge of the museum, and of all models and specimens deposited therein, and sliall have the general superintendence of the same, under the direction of the Council ; and he shall keep a list of al contri- butions, with the names of tlie contributors. 2. The Assistant Curators shall be appointed by the Sections, and shall assist the Curator in the care of the museum and the specimens contained in it, so far as relates to their own departments. SFXTION XIII. THK COlfNCIL. 1. The President, the Vice-President, the Secretary, the representatives of Sections, the Treasurer, the Kditor, the Librarian, the Curator, and as many other members of Council as may be necessary, at the annual general meeting, to complete the number of fifteen members, shall constitute the Council, and shall have the direction and management of the affairs of tiie Institute. 2. The Council shall meet at least once a month during the session, or oftener if necessary, to conduct the business of the Institute. 3. Any two members of the Council may, by letter to the Secretary, require a special meeting to be called, and two days' notice of such meeting must be given to each member of the Council. 4. At any meeting of the Council iive members thereof shall constitute a. a (^uori^m. 5. The Council shall have power to appoint Committees for special purposes, and such Committees shall report to the Council. 6. The Council shall present at the annual general meeting a report on the state of the Institute, in which shall be given an abstract of all the proceed- ings, and of the receipts ami expenditures, during the year ending March 3lst. next before such meeting. 7. The Secretaries of Sections shall, on the first Saturday in April of each year, present to the Council a report on the work done by their respective sections during the year. 8. In the event of any office becoming vacant before the annual general meeting, by death or otherwise, the Council shall have power to till the r^^ Ban 11 vacancy ; and in the event of any officer being unable to perform his duties, the Council shall have jiower to relieve him from the performance of such duties for the time being, and tu ap^Ktint another member to act in his stead, SECTION XIV. THE ArniTORS, The Auditors shall audit the accounts of the Institute for the year ending on March ,31st next after their appointment, and they shall present their report to the Council at least one week before the annual general meeting. SECTION XV. TaE OKDJNARV MEETINGS. 1. The ordinary meetings ot Sections shiill take place at such times as may be agieed upon by the Sections, subject to the approval of the Council. 2. The ordinary meetings of the Institute shall be at such times as the Council shall direct. SECTION XVI. SPECIAL GENERAL MEETING. 1. The Council may at any time call a special general meeting of the Insti- tute on six days' notice in writing thereof to city members, which notice may be either given personally or transmitted by post to the last known address of the member. 2. It shall be the duty of the Council to call a special general meeting of the Institute at any time between October ist and May 1st on being required in writing by at least twelve members to do so. SECTION XVII. THE ANNUAL (lENERAL MEETING. The annual general meeting of the Institute shall be held on the first Satur- day in May of each year, at twenty o'clock (eight o'clock in the evening), for the purpose of receiving and considering the Report of the Council on the state of the Institute, and electing the otficers and members of the Council for the ensuing year. SECTION XVIII. imANCR SOCIETIES. Members of the Institute residing at a distance of ten miles from the city of Toronto shall have power to form themselves into branch societies for the pur- pose of holding meetings and discussing subjects proper to the objects of the Institute, and such branch societies shall be governed by such by-laws as the Council may from time to time enact for such purposes. SECTION XIX. ALTERING THE REGULATIONS. A motion to alter any by-law or regulation of the Institute may be made at the annual general meeting, or at a special general meeting called for the pur pose, and not otherwise ; and notice of the proposed alteration shall have been given at two consecutive ordinary meetings prior thereto. 12 SECTION XX. THE PROPERTY OF THE INSTITUTE. 1. The whole of the property and effects of the Institute, of what kind soever, shall be vested in the Council of the Institute, subject to the limita- tions prescribed by the Charter. 2. Every paper, map, or drawing, which may be presented to the Institute, shall be considered the property thereof, unless there shall have been some arrangement to the contrary, and the Council may publish the same in con- nection with their transactions, or, with the consent of the author, in any other form. No communication made to the Institute shall be published by any other person but the author without the previous consent of the Council. 3. Every paper presented to the Institute for publication shall be referred to an Editing Committee appointed by the Council. Notices or abstracts of all papers not published in full may be prepared by the Editing Committee. 4. No papers, plans, maps, or other property belonging to the Institute, shall be taken out of the rooms thereof without the consent of the Council ; but every member shall have a right to inspect the same at such hours as the Council may appoint. SECTION XXI. DONATIONS AND BEQUESTS. 1. The names of all persons who shall contribute to the library, the museum, or the general fund of the Institute, shall be read at the annual general meet- ing, and such persons shall be recorded as benefactors in the published transactions of the Institute. 2. Every person desirous of bequeathing to the Institute any manuscripts, books, maps, plans, drawings, instruments^ geological, botanical, or other specimens, natural curiosities, works of art or manufacture, or personal pro- perty, is requested to make use of the following form in his will, viz.: — "I give and bequeath to the Canadian Institute, incorporated by Royal Charter, November 4th, 1851 (here enumerate and particularize the effects or property intended to be bequeathed), and I hereby declare that the receipt of the Treasurer of the said Institute for the time being shall be an effectual dis- charge to my executors for the said legacy." BY-LAW. At the ordinary meetings of the Institute, the following order of business shall be observed as closely as circumstances will admit : — 1. The minutes of the previous meeting shall be read and confirmed, and signed by the Chairman ; and no entrj' shall be considered valid until this is- done. 2. Nomination of candidates for admission. ' 3. Business arising out of the minutes. 4. Communications received since last meeting. 5. Donations received. IS 6. Communications from the Council. 7. Commanioations from Sections. 8. Notices of motion. 9. New business. 10. Election of Candidates. A ballot shall be taken for the entire body of <;andidate8 proposed for admission ; if one-fourth or more black balls appear, the ballot shall be taken for each individually ; and any candidate shall be re- jected against whom appear a number of black balls equal to one-fourth of the number of members voting. 11. The reading of papers. 12. Announcements. REGULATIONS OF THE LIBRARY AND READING-ROOM. 1. Any member may obtain the loan of any book or periodical, not to ex- ceed two volumes or numbers at any one time, for a period not longer than two weeks in the case of periodicals, and three weeks in that of bookc, except such books or periodicals as shall be reserved by the Council, ai!.d so marked in the catalogue. 2. Periodicals shall not be loaned until they have been on th i table one month in case of monthlies and quarterlies, and one week in the case of weeklies. 3. If any member retain a book c~ periodical longer than the time specified, he shall be notified by the Librarian, and shall return it at once. 4. In case any book or periodical is injured or lost while in the possession of a member, it must be replaced by a perfect copy or an equivalent in value. 5. No book or periodical shall be removed from the Library or Reading- Boom without the permission of the Librarian, and the presentation of a ticket signed by the applicant, who shall be responsible for the books, &c., taken out until such ticket is cancelled. 6. Any member may introduce a friend, not resident in Toronto or vicinity, to the privilege of reading in the Lil>rary or Reading-Room for a period not exceeding one month, on entering his own name with that of the person introduced by him in a visitors' book to be kept for that purpose. *»* The Reading-Room is open every afternoon from 1 to 6 p.m., and on Saturdays also from 10 to 12 a.m., and in the evening during the Session.
